The Sarbanes-Oxley Act of 2002 directed the Public Company Accounting Oversight Board (PCAOB) to establish auditing standards relating to the preparation of audit reports for public companies. The PCAOB issued its own standards and adopted other standards promulgated by the American Institute of Certified Public Accountants (AICPA), which retains jurisdiction to establish standards governing audits of non-public companies.
This Portfolio discusses, analyzes, and illustrates the application of pertinent standards of the PCAOB, AICPA, and other standards setters.
The Sarbanes-Oxley Act also created a requirement that annual reports filed with the SEC be accompanied by a management report on internal control. In that report, management must acknowledge its responsibility for establishing and maintaining internal controls over financial reporting and must also present its assessment of the effectiveness of those controls. In addition, the external auditor must, as part of the financial statement audit, attest to management's assessment of the company's internal controls and financial reporting.
