The faculty for this program will discuss alternatives to the traditional corporate holding company structure for private equity investments and the advantages and disadvantages of these alternatives. They will examine the impact of alternative structures on management equity incentive plans, fiduciary duties and other corporate law considerations, add-on acquisitions, liquidity events and other aspects of private equity investments. The program also will highlight important tax implications of the alternative structures.

Educational Objectives:

• Understand the prevailing structures in private equity investment, and why they are used.
• Learn how alternative structures can be used to improve management equity incentive plans.
• Find out how alternative structures can be used to better protect private equity sponsors from legal risk.
• Understand how alternative structures can be used to simplify liquidity events.

Jim Smulkowski is a partner in the tax department at Paul Hastings and works from the firm’s Chicago office. Mr. Smulkowski concentrates his practice in federal income tax issues related to all aspects of private equity backed investments, mergers and acquisitions, venture capital funds, real estate investments, and management compensation. He works extensively with the firm’s corporate, commercial finance, and real estate practices.

Mr. Smulkowski earned a J.D. from Northwestern University School of Law and a B.A. from Loyola University Chicago. He is admitted to the Illinois Bar.

Christopher D. Sheaffer, Paul Hastings LLP
Chris Sheaffer is a partner in the corporate practice at Paul Hastings and works from the Chicago office. His practice is focused on representing private equity firms in leveraged buyouts, minority investments, add-on acquisitions, divestitures and recapitalizations. In addition, he provides general corporate counseling to their portfolio companies from initial investment through liquidity event, advising on corporate governance and other general transactional matters. He also regularly represents public companies, closely held businesses, entrepreneurs and senior management teams in connection with mergers and acquisitions and financing transactions.

Mr. Sheaffer earned a J.D. from Northwestern University School of Law and a B.S. from the University of Notre Dame. He is admitted to the Illinois Bar.

Hardship Policy
Bloomberg BNA offers a hardship policy for attorneys earning less than $50,000 per year. If an attorney wishes to take advantage of this option, he or she must contact Bloomberg BNA directly. For attorneys who are unemployed or earning less than $35,000 per year, a full discount off the price of the program will be awarded upon written proof of hardship.
