This program will focus on the legal and regulatory impact of offering an employee stock purchase plan (ESPP) to a global workforce. Whether your company has offered its ESPP globally for years or is considering starting or re-starting an ESPP, another (and closer) look may be necessary. We will discuss the securities, tax, labor, data privacy, and corporate governance requirements for an ESPP, including requirements for securities filings, foreign exchange transactions, collection and transfer of employee information across borders, financial intermediaries (broker/stock plan administrators), and works council codetermination rights.

Increasingly, with complex and expensive regulatory obstacles, as well as low participation, companies are more selective in offering their ESPPs around the world. Companies that may have suspended their ESPPs internationally due to compliance, participation and budgetary concerns are increasingly exploring offering their ESPPs in select countries. We will examine the regulatory challenges of a global ESPP, including the unique issues presented by Section 423 plans. We will explore how to navigate around compliance and administrative obstacles by staying out of certain countries as well as the significance of a company’s corporate structure.

Educational Objectives:

• Gain an understanding of the introduction or re-introduction of ESPPs internationally.
• Learn about the regulatory challenges, including the unique issues for Section 423 plans.
• Find out about the significance of a company’s corporate structure for global ESPPs.
• Hear about the impact of mergers and acquisitions (M&As) on ESPPs.
• Learn best practices for a successful global ESPP.
