David A. Harris is a Partner in the Commercial Law Counseling Group of Morris, Nichols, Arsht & Tunnell LLP. Mr. Harris' practice focuses on the fields of partnership, limited liability company and statutory trust law, with an emphasis on issues relating to the formation, operation and termination of private equity funds, mutual funds and other investment vehicles organized as Delaware entities. His practice also includes state banking and insurance regulatory matters, mergers and acquisitions and other contract law matters arising under the Uniform Commercial Code.

Mr. Harris' clients range from large, multinational corporations to local startup ventures. He regularly counsels other attorneys domestically and internationally on matters relating to Delaware partnerships, limited liability companies and statutory trusts.

He is the Chairperson of the Commercial Law Section of the Delaware State Bar Association and is an active participant on the task force of the Negotiated Acquisitions Committee of the Business Law Section of the American Bar Association that is revising the Model Stock Purchase Agreement.  He received his B.A., summa cum laude, from Salisbury University and his J.D. from the University of North Carolina School of Law.

He is the co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 67-2nd, Limited Liability Companies: Legal Aspects of Organization, Operation and Dissolution.  This portfolio volume examines certain aspects of the organization, operation, and dissolution of limited liability companies. It discusses state LLC statutes and the Uniform and Prototype LLC acts; the entity's operating agreement and articles of organization; various issues relating to members and managers of the entity; mergers, consolidations, and conversions of an LLC; tax treatment of LLCs; securities law issues relating to LLCs; and professional LLCs.
