Mr. Hughes is a partner in Young Conaway Stargatt & Taylor, LLP's Wilmington, Delaware office.  He practices in the corporate and commercial transactions area, with a focus on mergers and acquisitions, corporate governance, fiduciary duty issues, corporate dissolutions, and alternative entities including limited liability companies and limited partnerships. His practice includes rendering legal opinions on Delaware corporate law matters, such as sales of substantially all assets, as well as opinions concerning enforceability of transactions under Delaware corporate and alternative entity law.  He received his B.A. (sum ma cum laude) from the University of Delaware, his M.S. from Columbia University Graduate School of Journalism and his J.D. from the University of Pennsylvania Law School.

 

He is a co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 105, Deal Protection Devices.  This portfolio volume provides a discussion of deal-protection devices that largely govern the period between the signing of a merger agreement and the stockholder vote on the transaction. The discussion explores how deal-protection provisions operate together and how they are scrutinized when the parties adopt particularly aggressive or unprecedented variations of the protections. Additionally, the authors provide advice and guidance in the use of deal-protection measures.
