The faculty for this program will examine several timely issues of professional responsibility, particularly as they affect lawyers engaged in transactional practice: conflicts of interest; negotiation ethics; dealing with client fraud; and communications with persons represented by other counsel.

Educational Objectives:

Learn more about the following issues, plus more:

• When a law firm may ask a client to sign an advance waiver of conflicts.

• Which ethics rules are particularly important to review before engaging in business negotiations.

• How to think about the interplay of several ethics rules pertaining to lawyers’ obligations when faced with client fraud.

• Whether a recent ABA ethics opinion permitting lawyers to prepare clients for direct contact with an opposing party represents a change in previously accepted practices in this area.

Who would benefit from attending the program?

Lawyers with a concentration in corporate practice—for example, corporate attorneys, in-house counsel, or securities counsel—will find this program especially useful, given the emphasis on ethics issues in the transactional context.

William Freivogel, Legal Ethics Consultant
Mr. Freivogel is a consultant to law firms and corporate legal departments on legal ethics and loss prevention issues. He publishes online Freivogel on Conflicts (www.freivogelonconflicts.com) and is a member of the Editorial Board of the ABA/BNA Lawyers’ Manual on Professional Conduct. Mr. Freivogel earned LL.B. and B.S. degrees from the University of Illinois (Champaign).

Henry S. “Harry” Bryans, Aon Risk Services Central, Inc.
Mr. Bryans is a Senior Vice President and Executive Director with Aon Risk Services Central, Inc., where he specializes in risk management issues for law firms. Prior to joining Aon, he was a partner in the Philadelphia law firm of Drinker Biddle & Reath LLP for more than twenty-five years and served as general counsel to his firm for ten years. His practice focused on a wide variety of matters under federal and state securities and banking laws, mergers and acquisitions, and general corporate representation of public and private companies.

Mr. Bryans earned a J.D., magna cum laude, from the University of Pennsylvania Law School and a B.A. from Yale University.

Sue C. Friedberg, Buchanan Ingersoll & Rooney PC
Sue Friedberg is associate general counsel with her firm. She is responsible for guiding the firm and its attorneys in meeting the standards of ethical law practice. She supervises the firm's conflicts of interest review process and new business intake functions and provides counsel for the firm as a business entity. Ms. Friedberg assists in directing the firm's orientation and continuing educational programs related to lawyers' professional responsibilities, duties of confidentiality and loyalty, conflicts of interest, and attorney/client privilege.

Ms. Friedberg earned a J.D., cum laude, from the University of Pittsburgh School of Law, where she was a member of the Law Review, and a B.S., magna cum laude, from Georgetown University, where she was inducted into Phi Beta Kappa.

Hardship Policy
Bloomberg BNA offers a hardship policy for any attorney earning less than $30,000 per year. If an attorney wishes to take advantage of this option, he or she must do so in writing and also provide proof of hardship. If approval is granted, a discount of 50% off the full registration price of the program will be awarded.
