Victoria Pool is an associate in the Schiff Hardin LLP Chicago office.  She practices corporate and securities law with a complementary focus in public finance law. Victoria advises public and private companies and their boards of directors on corporate governance and securities compliance and disclosure matters, as well as on mergers and acquisitions and securities offerings.

Victoria represents issuers, borrowers and underwriters in public offerings and private placements of corporate securities. She also acts as bond counsel, underwriter’s counsel and in other capacities in connection with the issuance of municipal securities.  She received her B.A. from the University of Idaho and her J.D. from Chicago-Kent College of Law.  She is a member of the Illinois Bar and American Bar Associations.

She is a co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 12-6th, The Annual Meeting of Shareholders.  This portfolio volume describes the process of planning and conducting an annual shareholders' meeting for a public corporation. After discussing the general statutory basis for the meeting, the portfolio explains the legal requirements for an annual meeting and discusses various practical and logistical issues to consider before, during and after the meeting. The portfolio also examines in depth the federal proxy rules, describing the information required to be disclosed, the filing requirements, the procedural rules on shareholder proposals, and the procedural and substantive grounds for excluding shareholder proposals from the proxy materials. The portfolio also discusses the role of proxy solicitors and other third parties who are involved with annual meetings.
