Arlington, Va. (November 16, 2007) – The Securities and Exchange Commission (SEC), under Chairman Christopher Cox, has undertaken a robust agenda of activities. Topics from shareholder nomination of directors to stock option repricing to executive compensation have been in the agency’s sights this proxy season, and it is clear that corporate insiders and their outside counsel must now function under greatly increased scrutiny and new rules.
SEC “Hot Topics” in Disclosure and Governance, a new conference from BNA Legal & Business EDge, gathers together several SEC division directors to discuss the wide range of hot new topics, and guide the corporate community through the labyrinth of changes and their implications.
Erik Sirri, Director of the Division of Market Regulation, Linda Chatman Thomsen, Director of the Division of Enforcement, and John White, Director of the Division of Corporation Finance will lead the discussion. Conference Co-Chairs Alan Beller and David Becker of Cleary, Gottlieb, Steen & Hamilton will offer perspectives from the private sector. The faculty of this high-level briefing consists of over twenty experts from the SEC and leading law firms.
Focusing on changes on the immediate horizon, panelists will describe the current state of SEC proposals in such percolating areas as shareholder nomination of directors, restatements, mutual recognition, stock option repricing, and the subprime lending meltdown. The conference also includes detailed analysis of SEC’s current stance on executive compensation and disclosures on executive compensation that the SEC will expect in 2008 proxy statements.
