NEW EDITION OF BNA PORTFOLIO ON INSIDE INFORMATION
Arlington, Va. (December 29, 2008)—The obligations of a U.S. public company and its insiders arising from the possession of material nonpublic information concerning the company or its securities is the focus of a new portfolio now available from BNA.
Larry P. Ellsworth and Michael K. Lowman of Jenner & Block LLP, Washington, D.C., are co-authors of a new edition of the BNA portfolio, “Inside Information: Prevention of Abuse.” Both authors worked at the Securities and Exchange Commission’s Division of Enforcement before joining Jenner & Block. They each have extensive experience dealing with issues involving inside information.
This portfolio has been added to BNA’s Corporate Practice Library, a comprehensive print and Web-based information service designed to provide corporate counsel with in-depth analysis and practical materials relating to areas of the law that frequently require attention by in-house counsel. After initially discussing what information is deemed to be material and nonpublic, the authors then analyze the prohibitions against insider trading, the scope of the company’s obligation to disclose material information, and the formulation of corporate procedures that promote compliance with the insider trading prohibitions and disclosure requirements. The authors also discuss potential liabilities and statutory defenses for insider trading, as well as the liability for short-swing profits under Section 16 of the Securities Exchange Act of 1934.
The portfolio’s worksheets include relevant statutory provisions, significant Securities and Exchange Commission releases, stock exchange disclosure guidelines, and a sample insider trading policy for a corporation.
