Private equity investments in franchise systems have been increasing. This may be due, in part, to the fact that many franchises have a recognizable brand, a proven business model, reliable cash flow, and already-existing strategies for growth, all of which make them attractive to investors.

This program will address what makes franchise systems attractive to private equity investors and how these investments are typically structured. Additionally, the faculty will discuss certain deal considerations that are important and specific to these types of investments.

Andrew P. Loewinger, Nixon Peabody LLP
Andrew Loewinger is a transactional franchise partner at Nixon Peabody LLP and is based in the firm’s Washington, D.C. office. He concentrates his practice on assisting franchise clients to expand their businesses in the United States and internationally. Mr. Loewinger regularly advises clients on a wide variety of franchise system, franchise sales compliance, corporate and intellectual property issues. He focuses a substantial part of his practice on outbound and inbound international franchise transactions. Nixon Peabody’s Franchise Practice has been named “Law Firm of the Year” in Franchise Law for the past two consecutive years.

Mr. Loewinger has worked on hundreds of international franchise transactions in more than 85 countries, from Mongolia to Qatar and from South Africa to Macau. He also represents clients in protecting their intellectual property such as trade secret information and trademarks and in all aspects of protecting their franchise system. He is currently Chair of the International Franchising Committee of the International Bar Association and a member of the Governing Committee of the American Bar Association’s Forum on Franchising.

Mr. Loewinger earned a J.D. from Georgetown University Law Center, a Master’s Degree in International Affairs from Columbia University, and a B.A., magna cum laude, in philosophy from The Colorado College.

Carolyn J. Vardi, White & Case LLP
Carolyn Vardi is a partner in White & Case’s Global M&A Practice Group and Chair of the firm’s New York Lawyers Committee. Ms. Vardi regularly represents buyers and sellers in domestic and international public and private mergers and acquisitions, including joint ventures and equity co-investments. This involves the representation of domestic and international corporate clients in a broad range of industries, private equity funds and commercial banks and their private equity affiliates. Ms. Vardi was named to the "40 Under 40" list of outstanding lawyers by The M&A Advisor. She is also recognized as a "Leading Lawyer” for M&A and private equity in the United States by Euromoney and has been named to Euromoney's Expert Guide to Women in Business Law.

Ms. Vardi earned a J.D. from Columbia Law School and a B.A., cum laude, in Comparative Literature from Yale University. She is admitted to practice in New York.

This program’s CLE-credit eligibility varies by state. Bloomberg BNA is an accredited provider in the states of New York*, California, Pennsylvania, Texas and Virginia, and most other jurisdictions grant CLE credit on a per-program basis. At this time, Bloomberg BNA does not apply directly to the states of Florida, Rhode Island, Montana and Hawaii although credit is usually available for attorneys who wish to apply individually.
