Kristina Veaco is Principal with the Veaco Group in San Francisco, where she provides practical corporate governance advisory and support services to public, private and nonprofit entities and their boards of directors. She also specializes in providing independent board evaluations, skills assessments, governance audits, stock administration governance and other governance solutions to improve board effectiveness. 

Prior to forming Veaco Group, Ms. Veaco previously advised public companies on securities law compliance and corporate governance as in-house corporate securities counsel.  Most recently she ran the Office of the Corporate Secretary, including support for the board and committees, securities law, stock exchange and SOX compliance, stock administration and subsidiary maintenance at McKesson Corporation, a Fortune 15 company. Prior to that, she had responsibility for the Corporate Secretary function as well as securities law compliance as the head of the corporate securities group at AirTouch Communications, Inc., which was spun off from Pacific Telesis Group.

Ms. Veaco is sought after as a speaker and panelist by a variety of professional organizations. She is a longstanding member of the Society of Corporate Secretaries and Governance Professionals and is a former President of the Northern California Chapter and a member of the Advisory Board. She was a member of the national board of the Society from 2002 - 2007 and is a member of the Corporate Practices, Membership, Nonprofit and Small and Mid-Cap Companies Committees.   She is also a member of the American Bar Association, Business Law Section, Corporate Governance Committee.

Ms. Veaco earned a B.A. from the University of California, Davis and her J.D. from the Hastings College of the Law. 

She is the co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 96, The Role of the Corporate Secretary: Facilitating Corporate Governance and the Work of Corporate Boards.  This portfolio discusses the importance of the role of the corporate secretary as it relates to four basic areas: support to the board of directors, shareholders services, entity management, and management of the Office of the Corporate Secretary.
