Yelena M. Barychev is a Partner in the Philadelphia office of Blank Rome LLP where she advises management on public and private offerings of debt and equity securities, including IPOs and Rule 144A offerings, tender offers, preparation of proxy statements, Forms 10-K, 10-Q, 8-K and other SEC filings, company website disclosures, social media policies, executive compensation matters, corporate governance issues, compliance with NASDAQ and NYSE listing requirements and compliance with the Sarbanes-Oxley Act, the Dodd-Frank Act and the JOBS Act.

Ms. Barychev represents U.S. and European companies in connection with business and corporate law matters, including business formation and planning, as well as contract drafting and negotiations. She also counsels nonprofit organizations.

Ms. Barychev writes and speaks frequently on securities compliance and corporate governance issues. She is a frequent contributor to Blank Rome's Securities News Watch blog, which covers news and information on the JOBS Act, corporate governance, executive compensation, and securities matters.

She earned her B.A. from Moscow State Pedagogical University and her J.D. from the University of Pennsylvania Law School.

Ms. Barychev is co-author of Bloomberg BNA Corporate Practice Portfolio Series 49-6th, Audit Committees.  This portfolio volume covers the establishment and maintenance of effective audit committees after the Sarbanes-Oxley Act of 2002, as well as the historical development of audit committees prior to 2002. Major policy and procedural issues facing today's audit committee are explained, as well as the functions and the responsibilities of a typical committee and the potential liability of audit committee members.
