Celia A. Soehner Esq.



Celia A. Soehner is an associate in the Corporate Finance Section of Buchanan’s Pittsburgh office. She focuses her practice on advising companies at all stages, including emerging growth and publicly-held, on a variety of corporate and securities matters that include mergers and acquisitions, private and public offerings, federal and state securities law compliance, corporate governance, and compensation matters. Celia also helps public and private companies raise capital through debt, equity and convertible financings.
     Prior to joining Buchanan, Celia served for five years as an attorney-adviser with the U.S. Securities and Exchange Commission (SEC) in the Division of Corporation Finance. While at the SEC, she worked on a number of transactional and securities compliance matters specific to large financial institutions, including bank holding companies and investment management companies. She also has regulatory experience with respect to medical device, advanced machinery and green energy companies. Celia has handled securities disclosure issues affecting initial public offerings, debt and equity offerings, and mergers and acquisitions, as well as issuer reporting obligations under the Securities Exchange Act of 1934. She has experience with cybersecurity-related disclosure matters, served on the Division of Corporation Finance’s shareholder proposals task force and, in 2012, received the Chairman’s Award for Excellence.
     During law school, Celia worked in the legal department of a publicly-traded company where she assisted with general corporate, employment and intellectual property matters.
