DealMaker Document Search


DealMaker gives you access to over 800,000 legal documents that were used by top practitioners in real transactions and filed with the Securities and Exchange Commission through EDGAR. The documents in the DealMaker Database have been analyzed and classified according to a number of helpful criteria so you can find transaction precedents specifically tailored to your needs. 
You can search for example agreements, prospectuses and clauses by document type, clause title, keyword, date, transaction type, governing law, SIC industry, party, law firm and attorney, while a robust set of filters lets you narrow your results to the exact precedent that you need. When searching over M&A and Public Offering document types, you can further narrow your search by specialized, deal-specific terms from our Deal Analytics database, such as underwriter and deal size and access Deal Details for the overall transaction. Our clause search functionality will let you pinpoint precise language in specific clauses and compare your results with one another and with your own text. 

How to Access DealMaker

To access DealMaker from the Bloomberg Law Menu, select Transactional Law, and click DealMaker Documents, or DealMaker Clauses. 
To access DealMaker from the Bloomberg Law Home page, select DealMaker Documents from the Getting Started panel. Once the DealMaker Search page loads, you can search for documents or click the Clauses tab to search for clauses. DealMaker lets you search for example agreements, prospectuses and clauses by the standard search fields shown on the search page. Searches run over  M&A and Public Offering document types can use the additional fields contained in the Mergers & Acquisitions or Equity Offerings categories. To explore the types of information that is available, try out the Example Searches shown on the right sidebar or click the More link to see a more extensive list of example searches. 

Select DealMaker By Document Type

Either scroll through the list of Document Types or begin typing a Document Type to narrow the scrollable list. Use the + expanders to see additional associated Document Types. You can add multiple document types by repeating this step. Your selections will appear below the list of available document types. Remove a selection by clicking on the  GrayStar2 button or you can save it as a Favorite by clicking the  GrayStar2 button. 
For more information on a specific Document Type, click on   the relevant  GrayStar2 button in the scrollable list. 

Search DealMaker By Transaction Type

Begin typing the transaction type that you want to search for. As you type, an autocomplete list of matching transaction types will appear below the field for you to pick from. You can also browse through the list of transaction types by clicking the Browse button to the right of the field. A browsable list will display. You can add multiple transaction types by repeating this step. 
Your selections will appear below. Remove a selection by clicking on the  GrayStar2 button. 

Search DealMaker By SIC Industry

To search by Standard Industrial Classification (SIC) code, begin typing the name or code number of the classification that you want to search for. As you type, an autocomplete list of matching codes and names will appear below the field for you to pick from. You can search multiple codes by repeating this step. 
Your selections will appear below. Remove a selection by clicking on the  GrayStar2 button. 

Search DealMaker By Governing Law

To search documents governed by the law of a particular jurisdiction, begin typing the name of the jurisdiction in this field. As you type, an autocomplete list of matching jurisdictions will appear below the field for you to pick from. You can search multiple jurisdictions by repeating this step. Your selections will appear below the text entry field. Remove a selection by clicking on the  GrayStar2 button. You can also check the Exclude box to the right of your selection to exclude documents governed by the laws of the selected jurisdictions. 

Search DealMaker By Filing Date

Searches default to having "No Date Selection" which means that all EDGAR filing dates will be included. If you would like to narrow your date range click the Date Range dropdown menu and select from the following choices:

  • Specific Date- Enter a single date
  • Date Range - Enter a To and From date
  • Last 7 Days
  • Last 30 Days
  • Last 12 Months
  • Last 5 Years
Search DealMaker By Keywords

Enter your desired keywords into the Keywords box. You can search for exact phrases by placing them in quotes, or connect keywords using search operators. 
Select Include Word Variations to have the search automatically include common suffixes for the terms you enter. 
For a complete list of the search operators, click the Search Operators link to the left of the keywords box. 

Search DealMaker By Document Name

If you know the specific name or title of the document that you wish to find or search (e.g. Technology License Agreement), you can enter words from the document title in this field, separated by Search Operators (e.g. technology n/3 license). 

Search DealMaker By Party Name

Enter the name of a party to the agreement or issuer of the prospectus you want to search for. You can enter multiple names by either

  • Using Boolean search operators. Example: IBM or Microsoft
  • Clicking the  GrayStar2  button and entering an additional required name in the additional Party field that is displayed. Searching in this way is the same as using the Boolean AND operator – all of the names entered must be party to the same agreement or have issued the same prospectus. You can remove an added Party field by clicking the corresponding   GrayStar2 button.

When an M&A document type is selected, the Party field will display additional search criteria that you can use. These are:

  • Public/Private Status. Use the drop-down menus to select Public, Private or Any for the Acquirer, Target and Seller.
  • Party Role. Use the drop-down to the right of the Party field to indicate that the named party must act in Any role, or as Acquirer, Target or Seller. When aPublic Offering document type is selected, the Party field will display an additional drop-down menu to the right of the Party field to indicate that the named party must act as Issuer, Selling Stockholder, Lead Underwriter or Bookrunner.

Search DealMaker By Law Firm

Enter the name of a law firm that worked on the transaction or document you want to search for. You can enter multiple names by either:

  • Using Boolean search operators. Example: Latham or Skadden.
  • Clicking the  GrayStar2 button and entering an additional required law firm in the additional Law Firm field that is displayed. Searching in this way is the same as using the Boolean AND operator – all of the names entered must be associated with the same document. You can remove an added firm by clicking the corresponding  GrayStar2 button. 

When an M&A document type is selected, the Law Firm field will display an additional drop-down menu to the right of the Law Firm field to indicate that the named firm must act in Any role, or as representing the Acquirer, Target or Seller. 
When a Public Offering document type is selected, the Law Firm field will display an additional drop-down menu to the right of the Law Firm field to indicate that the named firm must act in Any role, as a tax advisor or as representing the Issuer, Manager or Selling Stockholder.

Search DealMaker By Attorney

Enter words from the name of the attorney in this field separated by search connectors (e.g. John n/3 Smith). You can enter multiple names by either:

  • Using Boolean search operators. Example: Lisa or Irving
  • Clicking the  GrayStar2 button and entering an additional required attorney in the additional Attorney field that is displayed. Searching in this way is the same as using the Boolean AND operator – all of the names entered must be associated with the same document. You can remove an added Attorney by clicking the corresponding  GrayStar2 button.

When an  M&A document type is selected, the Attorney field will display an additional drop-down menu to the right of the Attorney field to indicate that the named attorney must act in Any role, or as representing the Acquirer, Target or Seller. 

Selecting M&A or Public Offering Document Types

To select an M&A or Public Offering document type, pick one or more of the appropriate document types. If you pick only M&A document types or only Public Offering document types, you can further narrow your search by specialized, deal-specific terms from our Deal Analytics database. These terms are available from the Mergers & Acquisitions or Equity Offerings categories on the DealMaker search page. If your search includes document types from different categories, the specialized search terms will not be available. 

Search DealMaker By Deal Analytics Fields

When searching over M&A and Public Offering document types, you can narrow your search by specialized, deal-specific terms from our Deal Analytics database. To access these additional search field:

  • select an M&A or Public Offering document type (see Selecting M&A or Public Offering Document Types). Note that if your search includes document types from different categories, the specialized search terms will not be available.
  • click on the Mergers & Acquisitions or Equity Offerings group in order to display the additional search fields.
  • select your desired search criteria.
