Quentin has a wide-ranging business law practice where he functions as outside general counsel to a variety of public and private corporations. On a daily basis he advises clients on general corporate law and contract matters; federal securities law reporting and compliance; corporate governance; board and board committee fiduciary duties; internal investigations; financial disclosure matters; complex merger and acquisition transactions; software development agreements for both vendors and technology consumers; business process outsourcing agreements; e-commerce-related contracts; intellectual property issues; data security and consumer privacy concerns; private and public financing and capital raising transactions; executive compensation matters; contract dispute resolution and negotiation; as well as overall business strategies.  He received his B.A., (summa cum laude), from Southwestern College, his M.A. from Wichita State University and his J.D., (cum laude), from Cornell Law School.  He is a member of the Texas Bar.

 

Mr. Faust is co-author for Bloomberg BNA Corporate Practice Portfolio Series No. 100, The Texas Corporation: Legal Aspects of Organization and Operation.  This portfolio volume focuses on the process of forming a for-profit corporation under Texas law, including but not limited to, statutory requirements regarding corporate name, registered agent and bylaws, as well as the powers, rights and liabilities of directors and shareholders. The portfolio also explains various business transactions and types of corporate dissolution. In addition, the portfolio discusses close corporations, nonprofit and special corporations and foreign corporations registered to do business in Texas.
