Jonathan Guest concentrates his practice in corporate and securities law including debt and equity finance (public and private offerings including shelf regulations, registered direct offerings, PIPEs and rights offerings), corporate governance (Sarbanes-Oxley compliance), and domestic and cross-border mergers and acquisitions. Mr. Guest has also advised early-stage companies concerning matters of entity selection, capital structure, "angel" and venture capital finance, secured loans, executive compensation, intellectual property protection, and technology licensing.  He received his B.A. from Wesleyan University, his J.D. from Cornell University, and his LL.M. from Boston University.  Mr. Guest is a member of the American Bar Association, the Massachusetts Bar Association, and the Boston Bar Association.

Mr. Guest is the co-author of Bloomberg BNA Corporate Practice Portfolio SeriesThe Massachusetts Corporation: Legal Aspects of Organization and Operation.  This portfolio volume analyzes Chapter 156D, the principal Massachusetts corporation law statute, which covers such matters as corporate organization and operation and extraordinary corporate actions. The portfolio also examines statutes treating other types of corporations (e.g., professional) that make reference to and rely on provisions of Chapter 156D for some aspects of their organization and governance. It will also consider the Massachusetts business trust and the requirements for foreign corporations to qualify—and to maintain that qualification—to do business in Massachusetts.  Finally, it provides an extensive overview of Chapter 156C, which governs Massachusetts limited liability companies, both domestic and foreign.
