John D. Hendershot is a Director with Richards Layton & Finger, PA in Wilmington where he focuses his practice on corporate litigation in Delaware’s state and federal courts. Mr. Hendershot has litigated matters involving fiduciary duties of directors, statutory appraisal rights, advancement and indemnification rights, statutory rights to inspect books and records, and commercial and contract law.

Mr. Hendershot earned his B.A. from Thomas Aquinas College and his J.D., with honors, from the University of Chicago Law School.

He is the co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 38-5th, Appraisal Rights in Mergers and Consolidations.  This portfolio volume examines the statutory appraisal process and the determination of "fair value." It describes the situations in which, and the stockholders to whom, appraisal rights may be available, and it details the requirements for perfecting these rights. The methods and factors that the courts rely on in valuing shares are analyzed, and litigation aspects of the Delaware appraisal proceeding are discussed. Finally, the extent to which appraisal provides an exclusive remedy under Delaware law and alternatives to the appraisal remedy are examined.
