Jon Hughes, co-chair of Schnader's Emerging Companies Practice Group and partner in the Firm's Business Services Department, is a corporate attorney with more than 15 years of experience advising public and privately-held entities in all facets of business transactions. He counsels clients on debt and equity financing; angel, venture capital and private equity investments; acquisition and divesture of assets; and general corporate matters. He served as underwriter's counsel in several significant transactions. He has experience with exempt securities offerings and in the preparation and review of disclosure and other periodic filings required as part of ongoing compliance with securities laws and regulations.

In addition, as chair of the Firm's Employee Benefits practice, Mr. Hughes has extensive experience drafting a multitude of employee-related benefit plans including equity and phantom equity plans. Mr. Hughes has also represented both private and governmental plans, including collectively bargained defined benefit, defined contribution and health and health and welfare plans.

A member of Schnader's Emerging Companies practice, Mr. Hughes assists early-stage companies and entrepreneurs on a wide range of business and legal issues including formation, funding, loan financing, and executive compensation plans. In addition to working with local incubators and accelerators, Mr. 

Hughes has worked with the Drexel University School of Law Business and Entrepreneurship Program, and the University of Pennsylvania School of Law Entrepreneurship Legal Clinic. In addition to practicing in the area, Mr. Hughes has authored a chapter on trends in private equity and venture capital, and he has lectured on similar topics.
