Victoria Pool practices corporate and securities law with a complementary focus in public finance law. Victoria advises public and private companies and their boards of directors on corporate governance and securities compliance and disclosure matters, as well as on mergers and acquisitions and securities offerings.


Victoria represents issuers, borrowers and underwriters in public offerings and private placements of corporate securities. She also acts as bond counsel, underwriter’s counsel and in other capacities in connection with the issuance of municipal securities. 

Ms. Pool also advises boards of directors of mutual funds on board governance issues and matters arising under the federal securities laws, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940. She received her B.A. from the University of Idaho and her J.D. from Chicago-Kent College of Law.  She is a member of the Illinois Bar and American Bar Associations.
