In his counsel to public and private companies, Randy Bridgeman often serves as outside corporate counsel and deal steward, quarterbacking the deal process from pre-sale preparations through to closing and positioning clients for expansion, strategic partnerships and changes in ownership.

Randy's recent acquisition and sales counsel includes a series of cross-border, co-manufacturing joint-ventures for a global food manufacturer; a multibillion-dollar public-private partnership involving the private management of the Illinois Lottery; the sale of a multinational companies with complex intellectual property assets; a series of dealership roll-ups for an industrial equipment OEM; and a range of complex commercial contracts.

Randy has structured numerous traditional and non-conventional transactions to help clients realize long-term strategies. As owners of privately held companies increasingly explore succession and liquidity transactions that allow for company longevity and retirement security, Randy has been creating sophisticated frameworks and win-win arrangements for all interested parties. His deal experience and background include the full range of corporate issues and strategic transactions, such as: Mergers & acquisitions; Joint ventures; Public private partnerships; Distribution and supply chain agreements; Commercial contracts; Corporate governance; Finance; and Executive compensation.

Additionally, in his role as go-to outside counsel, Randy often advises and steers clients toward legal resources and resolutions related to litigation strategy, labor and employment, intellectual property, regulatory compliance, estate planning and real estate issues that arise in his clients’ legal matters.

Randy is known for immersing himself in his clients’ businesses and industries, and he has extensive experience representing companies with domestic and overseas operations in such sectors as food manufacturing and co-packing, beverages, alcohol, gaming, transportation, industrial manufacturing, mining, pharmaceuticals, waste management and financial services.

Randy is a founding member of the Privates Directors Association, which strives to create value through board formation, promote practices in board governance and provide a network to connect qualified board candidates with private companies. He is also active in the Chicago Bar Association and formerly served as co-chairman of it mergers and acquisitions and business and corporate law committees. In addition to leadership outside of the firm, Randy is the Firmwide Co-Chair of the Corporate & Securities practice and Chair of the firm’s Audit Committee. He serves on various management committees within the firm, including Perkins Coie's Partner Compensation Committee, Strategic Growth Working Group and a task force charged with implementing the firm’s Strategic Plan.
