Tom Stephens, a Parnter in the Denver office of Bartlit Beck Herman Palenchar & Scott LLP, has advised and counseled clients on corporate and securities law for more than 30 years.  During his career, Mr. Stephens has specialized in mergers and acquisitions, capital formation, securities regulation and private equity/hedge funds. His experience includes negotiated acquisitions; leveraged buyouts; public equity and debt offerings; startups and venture capital investments; hedge fund structuring; securities law disclosure and compliance; and hostile takeovers, tender offers and proxy contests.

He was previously an Associate and Partner with Kirkland & Ellis.

He received his B.A., (summa cum laude), from the University of Colorado, his M.P.A. from Woodrow Wilson School at Princeton University and his J.D., (cum laude), from Harvard Law School.

Mr. Stephens is the author of Bloomberg BNA Corporate Practice Portfolio Series No. 68-2nd, Beneficial Ownership Reporting: Schedules 13D and 13G.  This portfolio provides a comprehensive discussion of the disclosure requirements set out under §§ 13(d) and 13(g) of the Securities Exchange Act of 1934. Principal consideration is given to the administrative and case law that has arisen around the disclosure requirements. The discussion also provides a guide to assist in the day-to-day compliance with these requirements.
