Ms. Stern has been in private practice since 1994, concentrating in commercial finance, including secured transactions and letters of credit, loan participations and electronic commerce issues. Ms. Stern counsels commercial banks and nonbank lenders as well as corporate borrowers. She previously served as Senior Vice President and General Counsel at Banco Santander and Deputy General Counsel at Republic National Bank of New York.

Ms. Stern is the author of “Structuring Loan Participations” and “Structuring and Drafting Commercial Loan Agreements” (LexisNexis). She is a New York representative to the Uniform Law Commission, and has served on the Drafting Committees for the Revision of Uniform Code Articles 5 (letters of credit), 7 (documents of title) and 9 (secured transactions).

Ms. Stern received her B.A from Goucher College and LL.B from Harvard Law School.

 

She is the author of Bloomberg BNA Banking Practice Portfolio Series, No. 408, UCC Article 9: Secured Transactions.
